OVERVIEW

This B2B portal is operated by LINIAN (the trading name of LINIAN Supply Co Ltd). Throughout the site, the terms “we”, “us” and “our” refer to LINIAN. LINIAN offers this B2B commerce platform, including all information, inventory data, trade tools, and Services available from this site to you, the Business User ("the Customer", "the Wholesaler", "the Stockist"), conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By establishing a B2B trade account, accessing this portal, or placing a commercial purchase order, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms, conditions, and credit agreements referenced herein and/or available by hyperlink. These Terms apply strictly to business-to-business transactions. If you are acting as an individual consumer, you are not authorized to use this portal.

SECTION 1 - B2B ELIGIBILITY AND ACCOUNT SECURITY

SECTION 2 - TRADE CONTRACT FORMATION AND COMMERCIAL RESALE

All orders placed via this portal constitute a commercial offer to purchase. A binding contract is only formed when we issue a formal Order Confirmation or dispatch the goods.

• Intellectual Property: You agree not to reproduce, duplicate, copy, or exploit any portion of our patented designs, product blueprints, trademarks, or brand assets without express written permission via a formal Stockist or Distributor Agreement.

• Resale Compliance: You agree to sell LINIAN products only under the official product names (e.g., LINIAN FIRECLIP™, SUPERCLIP™) and to maintain all safety compliance and installation instruction documentation for end-users.

SECTION 3 - TRADE INVENTORY AND ACCURACY OF DATA

While our Cin7 portal is integrated with our manufacturing inventory systems, stock availability levels and lead times displayed on this site are approximations for commercial planning only. We reserve the right to adjust dispatch dates based on manufacturing queue constraints or material supply chain factors.

SECTION 4 - PRICE ADJUSTMENTS AND TRADE DISCOUNTS

• Price Modifications: Trade prices, bulk tier breaks, and wholesale discounts are subject to change without prior notice.

• Quotation Validity: Prices locked in an active, unsubmitted cart are not guaranteed. The final price applicable is the price displayed at the exact point the Purchase Order is submitted.

• Taxation: Unless explicitly stated otherwise, all trade prices displayed within this portal are exclusive of Value Added Tax (VAT) and commercial freight/shipping costs, which will be calculated and added at checkout or invoicing.

SECTION 5 - COMMERCIAL PRODUCTS AND SPECIFICATIONS

• Specification Variances: We reserve the right to alter product dimensions, technical specifications, or packaging configurations without notice as part of continuous product development or regulatory compliance updates.

• B2B Returns Policy: Unlike standard retail platforms, products purchased via this B2B portal are not subject to standard consumer "change of mind" cooling-off periods. Returns, shortages, or damaged freight claims must be reported to orders@linianclip.co.uk strictly within 3 business days of delivery receipt, subject to our commercial B2B Returns Policy.

SECTION 6 - BILLING, ACCOUNT TERMS, AND CREDIT LIMITS

We reserve the right to refuse, limit, or cancel any purchase order placed with us at our sole discretion.

• Credit Accounts: For customers with approved credit terms, payment schedules are strictly governed by your signed Credit Account Agreement (e.g., Net 30 Days). Failure to clear balances within terms will result in an automatic lock on your Cin7 ordering privileges.

• Pro-Forma Accounts: Accounts without approved credit terms must settle payment in full via credit card or bank transfer before manufacturing or dispatch occurs.

• Account Accuracy: You agree to provide current, complete, and accurate corporate billing, delivery, and corporate contact details for all transactions handled via this store.

SECTION 7 - INTEGRATED TOOLS AND THIRD-PARTY ERP EXTENSIONS

We may provide access to third-party tools or ERP/API data feeds (such as stock synchronization feeds or logistics tracking) over which we have no direct development control. You acknowledge that these data feeds are provided "as is" for commercial convenience. We assume no liability for logistics delays or inventory discrepancies caused by automated third-party data synchronization errors.

SECTION 8 - COMMERCIAL INTELLECTUAL PROPERTY & FEEDBACK

Any technical suggestions, application feedback, or product improvement ideas submitted via this portal or via email become the intellectual property of LINIAN. We retain unrestricted rights to utilize these concepts in our R&D cycles without compensation or confidentiality obligations to your business.

SECTION 9 - DATA PROTECTION & PRIVACY

Your corporate data and any personal processing information submitted through this B2B storefront are securely processed in accordance with our trade Privacy Policy, which complies with UK GDPR regulations.

SECTION 10 - ERRORS, INACCURACIES, AND CANCELLED ORDERS

Occasionally, technical sync errors between our inventory systems and the Cin7 portal may result in typographical errors, pricing inaccuracies, or shipping weight miscalculations. We reserve the right to correct any such errors, adjust invoicing, or cancel pending purchase orders if transaction data is found to be inaccurate, even after an initial automated confirmation has been generated.

SECTION 11 - COMMERCIAL PROHIBITED USES

In addition to standard security restrictions, users of this commercial portal are strictly prohibited from:

• Using data scraping tools, spiders, or bots to harvest trade pricing tables, product stock levels, or distributor terms.

• Misrepresenting trade account access to third parties or non-authorized subcontractors.

• Exporting LINIAN products to jurisdictions outside your approved territory without explicit written trade authorization.

SECTION 12 - DISCLAIMER OF WARRANTIES; LIMITATION OF COMMERCIAL LIABILITY

We do not guarantee that your access to this B2B ordering portal will be completely uninterrupted or error-free.

Limitation of Liability: In no event shall LINIAN, our directors, officers, employees, or supply chain partners be liable to your business for any indirect, incidental, or consequential commercial damages. This includes, without limitation, loss of profits, loss of project revenue, site downtime delays, liquidated damages on construction contracts, or costs of sourcing alternative fixings, arising directly or indirectly out of the use of this portal or the installation of products purchased through it, save for where liability cannot be restricted under Scots Law.

SECTION 13 - SEVERABILITY & COMMERCIAL TERMINATION

If any provision of these Terms is determined to be void or unenforceable by a court of competent jurisdiction, that specific clause shall be severed, and the remaining commercial terms shall continue in full force and effect. We reserve the right to suspend or close any trade account immediately if a business goes into administration, liquidates, fails to pay credit balances, or violates trade guidelines.

SECTION 14 - GOVERNING LAW & JURISDICTION

These Terms of Service, along with all commercial trade orders and separate supply agreements whereby we provide you with installation solutions, shall be governed by, interpreted, and construed in accordance with Scots Law. Both parties explicitly submit to the exclusive jurisdiction of the Scottish Courts.
